Job Description:

The Agreements & Contracts Manager is a critical role that oversees the entire contract lifecycle, ensuring seamless alignment with company policies, regulatory requirements, and business objectives. This position plays a vital part in mitigating risks, optimizing contract performance, and maintaining compliance with applicable laws.

Key Responsibilities:
  • Draft, review, and negotiate various contracts, including commercial agreements, vendor contracts, service agreements, real estate and construction contracts, NDAs, and MOUs.
  • Evaluate and ensure all contracts adhere to company policies, regulatory requirements, and industry best practices.
  • Identify and mitigate potential risks associated with contractual obligations.
  • Collaborate with internal stakeholders to guarantee contract terms align with business objectives.
  • Negotiate favorable contract terms with external parties.

Contract Management & Compliance:

  • Oversee the contract lifecycle from initiation to execution, renewal, or termination.
  • Maintain a centralized contract repository to track key dates, obligations, and performance metrics.
  • Ensure timely renewal, amendment, or termination of contracts as necessary.
  • Monitor compliance with contractual obligations and escalate non-compliance issues when required.
  • Implement contract management policies, procedures, and best practices.

Legal Risk Assessment & Dispute Resolution:

  • Assess legal risks associated with contracts and provide recommendations to minimize exposure.
  • Collaborate with the legal team to handle contract disputes, breaches, and litigation matters.
  • Resolve contract-related issues through negotiation, mediation, or other legal remedies.
  • Work with insurance and risk management teams to ensure adequate coverage for contractual liabilities.

Stakeholder Collaboration & Advisory:

  • Act as the primary point of contact for internal departments regarding contract-related inquiries.
  • Provide guidance to business teams on contract interpretation, obligations, and risk implications.
  • Closely collaborate with finance, procurement, and project teams to ensure contract terms align with financial and operational goals.
  • Train internal teams on contract management best practices and risk mitigation strategies.

Regulatory Compliance & Policy Development:

  • Ensure adherence to applicable laws, regulations, and industry standards.
  • Monitor changes in legal and regulatory requirements affecting contracts.
  • Contribute to developing and updating contract templates, policies, and procedures reflecting best practices.

Requirements:

  • Bachelor degree in Law, Business Administration, or a related field (LLB or Master in Law preferred).
  • At least 7 years of experience in contract management, legal agreements, or corporate law.
  • Strong background in real estate, construction, procurement, or commercial contracts is advantageous.
  • Experience working in an in-house legal team or corporate legal department.
  • Excellent understanding of contract law, legal terminology, and risk management principles.
  • Proficiency in contract management software and legal research tools.
  • Strong analytical and problem-solving abilities.
  • Attention to detail and ability to handle multiple contracts simultaneously.
