Job Title: Senior Legal Advisor, PPP & Investments

Location: Riyadh, Kingdom of Saudi Arabia

Reports to: Group Chief Legal and Compliance Officer (GCLCO)

Role:

We are seeking a candidate with 6 years (or more) of legal experience on projects and infrastructure space, working for leading law firms or in-house teams. The successful candidate will be responsible for the following:


• Drafting of contracts, letters, contractual notifications, MoUs, JDAs, etc.


• Leading JDA discussions (from a legal standpoint) with partners.


• Reviewing, drafting, negotiating and finalizing EPC/O&M term sheets and EPC / O&M contracts and other project documents.


• Leading discussions with contractors and clients with respect to EPC /O&M / Project documentation.


• Coordinating with external counsels for various project documentation and their review and markups.


• Liaising with external counsels (local and international) to perform all activities for a typical PPP / construction project from a legal standpoint in terms of company incorporation, legal due diligence, project documents and transaction documents negotiations and drafting etc.


• Leading financing documents negotiations and discussions with sponsor's and lender's counsels.


• Supporting the commercial/BD team in all discussions and negotiations with regards to PPP / Construction projects.


• Preparing risk matrices for the relevant committees in close coordination with the commercial and BD teams.


• Reviewing all advisory engagements, NDAs, MOUs etc., shared by third parties.


• Advising on M&A deals or cross border deals that company would be involved in (leading SPA/SHA/Put and Call options agreements etc.).


• Litigation management (if any) in coordination with external counsel.


• Supporting review of financing and security creation and perfection documents including coordinating with counsels for requisite opinions.


• Supporting operational issues of the company from a legal perspective.


• Providing day-to-day legal advice on a variety of issues, including disputes, claims, and compliance with laws.


• Maintaining organized and up-to-date legal records, files, and documentation.


• Assisting with the preparation of legal reports, memos, and presentations for senior management.


• Assisting and advising the company on all legal matters.


• Assisting on all such matters as may be assigned by GCLCO.

Education & Qualification:

Bachelor's degree in law (LL.B), preferably with higher education from a

recognized foreign university.

Required Skills:


• Strong knowledge of construction law, contract law, public private partnership, labour and regulatory requirements in the Kingdom of Saudi Arabia.


• Excellent written and verbal communication skills.


• Detail-oriented with strong organizational and time-management skills.


• Ability to analyze complex legal issues and provide practical solutions.


• Strong interpersonal skills.


• Ability to work independently and as part of a team.


• While bilingual skills (Arabic and English) will be preferred, it is not a must.

Instructions:


• This is not an admin / clerical or secretarial role.


• Remote work is not allowed.


• Strong preference will be given to candidates with prior experience in infrastructure sector, non-recourse financing PPP projects and GCC or other international regimes.
