HSBC Saudi Arabia provides investment banking services to the full spectrum of corporate and institutional clients in both the private and government sectors, including public companies; private companies and establishments; funds; government agencies; and family businesses and offices.

Role Purpose:

The role holder is responsible for providing legal and regulatory guidance to HSBC SA businesses with the aim to facilitate, develop and implement strategies and policies of HSBC SA. As well as mitigating and eliminating all legal risks while enforcing adherence to all laws and regulations and preserving HSBC SA's interests. The role holder is an Equity Capital Markets professional with extensive experience developing and managing relationships with senior-level management and institutional investors in diverse industries. Proven track record successfully working with clientele to develop and implement equity capital-raising requirements, such as New Issues, Initial Public Offerings (IPOs), Follow-On Offerings, and Special Warrants, Mergers and Acquisitions of listed/unlisted companies, spin-offs.

Principal Accountabilities: Key activities and decision making areas:

Impact on the Business

  • Provide counsel and legal support on a variety of legal matters arising in the context of the Global Banking and Markets business, including matters that may be complex or may have significant impact.
  • To be considered to be a trusted adviser to the business by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner to the Global Banking and Markets business.
  • Provide support and guidance to the Global Banking and Markets business with regard to legal risks arising in jobholder's area of expertise.
  • Shape policies related to litigation risks and ensures that efficient advice and guidance is provided to the business regarding the same
  • Approve and guides standard contract templates, legal terms and conditions developed by the function and ensures it is in line with HSBC SA's policies and legal requirements
  • Ensure that any breaches of contract are resolved in a timely manner or escalated to Senior Management to ensure corrective actions and legal remedies are in place
  • Oversees activities related to the bank's capital share from a legal perspective to ensure seamless operations of share transfers and resolution to any queries that may arise on the same.

Customers / Stakeholders

  • Provide prompt, commercial, practical and sometimes complex (under supervision) and / or specialized legal advice to the Global Markets business
  • Be proactive in the provision of legal support and in advising the business promptly of material legal developments and their implications
  • Ensure senior legal management is fully briefed on major issues arising in the Global Markets business and major legislative changes in that area
  • Manage key relationships with internal and external stakeholders, developing and maintaining strong working relationships with:
  • Internal: Senior Management Team, Finance Function, Internal Audit Function, Risk and Compliance, CEO, CRO, COO and relevant Boards
  • External: Regulators, Legal firms and consultancies, industry bodies, auditors, governments and their agencies and customers
  • Communicate Legal Strategy, Policies and Appetite across the company, educating senior management and employees of the organization

Operational Effectiveness & Control

  • Provide legal services in a cost-effective manner
  • Assist in co-ordinating and managing the approach to legal risk in the legal team and in Global Banking and Markets, to ensure that the interests of the HSBC Group are adequately protected
  • Assist the business to remain compliant with legal risk management requirements set out in the Group policies and procedures
  • Deliver fair outcomes for our customers and ensure own conduct is in line with HSBC's values and maintains the orderly and transparent operation of financial markets

Experience / Qualifications:

  • Bachelor's degree in Law
  • Master's degree in Law is preferred
  • Experienced and confident practitioner
  • Excellent negotiation and drafting skills and will have demonstrated the ability to take initiative and apply good commercial and legal judgment
  • Ability to handle a diverse range of issues, deal with new or unexpected situations and work under pressure
  • Strong communication skills (both written and verbal) and strong inter-personal skills
  • Great sense of ownership and servicing mindset to ensure efficient and effective customer service processes
  • A collaborative teammate, but also a self-starter who is able to work independently with an entrepreneurial drive
  • Qualified Lawyer with 6 years' plus experience
  • Experience with a bank in Saudi Arabia is preferred
