Position Overview:

The Governance and Legal Affairs Manager will ensure that the Industrial Competitiveness Program (ICP) adheres to robust governance, compliance, and regulatory standards. This role is essential for maintaining the integrity of the program by establishing and overseeing governance frameworks, monitoring compliance with regulations, and facilitating transparent reporting practices. The Governance Manager will collaborate closely with stakeholders, providing insight into program operations and ensuring alignment with the organization's sustainability and competitiveness goals.

Key Responsibilities:

  1. Governance Framework Development and Implementation
    Design, implement, and maintain governance frameworks to support the ICP's strategic objectives and compliance with national regulations. Establish policies and procedures to govern program activities, ensuring adherence to legal, environmental, and operational standards. Develop key governance metrics and reporting mechanisms to monitor program alignment with strategic goals.
  2. Compliance Monitoring and Reporting
    Monitor program activities for compliance with Saudi Arabia's environmental regulations, ICP-specific requirements, and energy efficiency standards. Conduct regular audits and assessments of the ICP to ensure compliance, report findings, and implement corrective actions as needed. Prepare comprehensive reports on governance, compliance, and risk management, providing insights for executive and regulatory review.
  3. Risk Management and Mitigation
    Identify potential risks within the ICP, assess their impact, and develop mitigation strategies in collaboration with project teams. Maintain a risk management plan, regularly updating it based on program developments and external regulatory changes. Engage with internal audit teams to implement robust controls and support risk mitigation measures.
  4. Stakeholder Coordination and Communication
    Serve as the primary point of contact for governance-related matters, ensuring effective communication with internal stakeholders and external regulatory bodies. Facilitate executive committee meetings focused on governance and compliance, providing transparent updates and risk assessments. Work closely with project managers, legal teams, and finance departments to ensure a cohesive approach to governance across program activities.
  5. Policy Development and Continuous Improvement
    Develop and update policies on sustainability, financial transparency, and governance best practices, aligning with ICP's evolving needs. Drive continuous improvement initiatives within the governance structure, refining policies and procedures to enhance accountability. Benchmark ICP's governance policies against industry standards, ensuring they reflect best practices in sustainable industrial development.
  6. Documentation and Regulatory Submissions
    Oversee the preparation and submission of required regulatory documents, ensuring all reporting is accurate, timely, and compliant with governmental standards. Maintain an organized, accessible repository of governance documentation, including audit records, compliance reports, and risk assessments. Support project managers in documenting governance compliance as part of their project reporting requirements.

Required Qualifications and Experience:

Education: Bachelor's degree in Law, Business Administration, Governance, or a related field; a Master's degree is preferred. Specialized certification in Governance or Compliance – such as Certified Compliance & Ethics Professional (CCEP) or Certified Internal Auditor (CIA) – is highly desirable.

Experience: 8+ years in governance, compliance, or risk management roles, preferably within the industrial, energy, or environmental sectors.

Technical Expertise:

  • Strong understanding of governance frameworks, risk management, and regulatory compliance within the industrial or energy sectors.
  • Proficiency in audit processes, compliance monitoring, and risk assessment.
  • Familiarity with Saudi Arabia's environmental and industrial regulations is highly desirable.
  • Exceptional organizational skills and attention to detail.
  • Strong communication and interpersonal skills for effective stakeholder coordination.
  • Analytical and problem-solving skills with a focus on governance and regulatory standards.
