About the Opportunity

Commercial Nuclear Legal Consultant - KSA.

To assist with and carry out all legal requirements related to drafting, negotiating, and executing contracts for financing & ownership and operation of a nuclear power plant and related infrastructure to be procured in Saudi Arabia, including the Power Purchase Agreement, grid-interconnection agreements, Financing and Lenders Agreements, Joint Venture documentation, Equity Subscription Agreement, Shareholder Agreement, commercial JV setup and other necessary contracts for the financing and capital structure. In addition, participating in legal negotiation processes with contracting parties, evaluating the submitted offers from the selected nuclear vendors, and identifying any risks the project may face from a legal point of view.

**Here’s What You’ll Need**:
**Responsibilities**:

- Provide all necessary legal support in the overall scope of work to the procurement for the Saudi nuclear power project, as described in the Job Summary.
- Support the drafting and the commercial discussions/negotiations of the Offtake agreement and any other related agreements and conditions required for selling the plant’s electricity to the principal buyer. Also, support the Financing and Business Development team in funding and financing matters and the project's commercial and corporate structure.
- Identify and assess the risks and legal impediments arising from contracts for the procurement, development, supply, construction, ownership, and operation of nuclear power plants.
- Assist outside counsel with developing the terms and conditions of all necessary contracts for the supply of nuclear plant technology.
- Participate in legal negotiation processes with suppliers of nuclear plant technology during the project's bid evaluation and negotiation phase and with the chosen supplier to finalize all necessary contracts.
- Discuss project matrices with the project team and identify and establish necessary legal framework required for smooth project implementation
- Assist with the issuance of invitations, evaluation of proposals, development of strategies, identification of legal risks and award of contracts in accordance with the approved procurement strategy
- Prepare explanatory notes for the items and specifications included in the contracts and work to resolve the differences of interpretation of contracts for the supply and construction of nuclear power plants
- Assist the client and outside counsel with the review, validation and negotiation of the nuclear energy project investors and lenders terms and conditions
- Review, question and validate the deliverables and recommendations of outside counsel to our client.
- Professional legal related certifications/licenses are preferred
