**General Overview**:
**Key Responsibilities**:

- Manage the development and execution of the team’s annual plan, budget, objectives and initiatives in line with the company's strategic objectives and set KPIs.
- Supervise the function’s operations and activities within budget and contribute to the identification of strategies that result in a positive financial impact.
- Define the board operating model in line with the pre-defined framework and manage communication/buy-in from BoD top management and external stakeholders.
- Ensure the development of board committee structures, charts and the delegation of authority matrix for the board of directors in coordination with Governance, Risk and Control to meet the company's objectives and goals.
- Assist Governance, Risk and Control by facilitating board committee nomination and selection while ensuring fulfillment of administrative requirements and monitor KPIs and remunerations.
- Manage the design of board compensation/remuneration guidelines and ensure the attainment of the relevant approvals from the board per governance mandates.
- Manage the implementation of general assemblies and ensure fulfillment of all pre-requisites including meeting agenda and all required documents.
- Ensure proper dissemination of dates and schedules of meetings and general assemblies to all stakeholders to increase attendance and participation.
- Monitor documentation of minutes of meeting, BoD resolutions and serialized registers in order to circulate with concerned stakeholders and consolidate for future reference.
- Ensure timely communication of board decisions and follow up on pending matters with concerned stakeholders to guarantee decisions implementation across concerned functions.
- Manage incoming and outgoing administrative communications and correspondences to the board ensuring confidentiality and timeliness to maintain the reputation of the Company.
- Monitor investor relations complaints and ensure timely closure in coordination with Investor Relations function.
- Review BoD annual report and reports submitted by the company's functions to BoD and ensure proper follow up on requirements.
- Review performance evaluation framework of BoD members and identify improvement areas t and board committee governance practices in alignment with Governance, Risk and Control to meet the company's best interest.
- Manage the development of the function’s policies, processes and procedures to increase productivity, attain high quality outputs, and cost effective results in line with relevant regulatory requirements.
- Manage day-to-day activities to ensure compliance with stipulated policies, procedures and processes, and propose solutions to identified non-compliance cases.
- Manage the acquisition and selection of potential new talent, and ensure integrating new joiners and provide sufficient on the job training.
- Set team members’ objectives, clarify expectations, review performance periodically, provide regular feedback, coach, and confront unsatisfactory behavior or performance.
- Ensure the identification of team members’ development requirements, and the evaluation of learning interventions’ effectiveness on performance.
- Manage team members working plans e.g., leaves, working hours and etc.
- Promote a productive working environment.

**Requirements**:

- A Bachelor’s Degree in Business Administration, or equivalent is required.
- A Master’s Degree in Business Administration, or equivalent is preferred.
- Minimum 7 years of experience in Business Administration or equivalent with at least 1 year of experience in a managerial position.
