Role Overview:
As a Board Executive Secretary, you will manage a wide range of high-level executive secretarial duties that are both confidential and essential to the smooth operation of the company's governance. Your role will be pivotal in administering and coordinating the activities of the Board of Directors, General Assembly Meetings, Board Committees, and Sub-committees. This includes organizing and preparing agendas, taking and distributing minutes, and ensuring effective communication and documentation of all decisions.
Key Responsibilities:
- Board Administration: Organize, prepare, and distribute agendas and minutes for board meetings, General Assembly Meetings, Board Committees, and Sub-committees, ensuring effective communication and documentation.
- Shareholder Relations: Distribute annual financial statements to shareholders, manage communications, and ensure the timely payment of dividends.
- Compliance Monitoring: Stay informed about legislative and regulatory changes, advise the board and CEO on corporate governance, and ensure compliance with all legal and statutory requirements.
- Liaison Duties: Facilitate communication between the board, its committees, management, and external advisers, ensuring a seamless flow of information.
- Corporate Records Maintenance: Maintain the company's share register, draft resolutions for general meetings, and ensure compliance with the company's Memorandum and Articles of Association.
- Policy Implementation: Monitor and evaluate the implementation of company policies and directives, recommending actions to address deficiencies and achieve strategic objectives.
- Reporting: Coordinate the preparation and timely dissemination of company reports and presentations for board meetings.
- Communication: Maintain regular communication with shareholders, board directors, and council members, ensuring they are kept informed and up-to-date on relevant matters.
- Other Duties: Perform additional tasks as assigned by senior management to support the company's governance and strategic goals.
Qualifications and Skills:
- Certification: An advantage to be a certified Board Secretary.
- Education: Bachelor degree in Business Administration.
- Experience: Proven experience as a Executive Assistant / Board Secretary in a corporate environment, preferably within Saudi Arabia.
- Knowledge: In-depth knowledge of corporate governance, and legal and regulatory requirements in KSA.
Skills:
Strong organizational and communication skills, with the ability to manage sensitive information confidentially.
Language Proficiency:
Excellent proficiency in English and Arabic, both written and spoken.
Competencies:
Ability to work effectively with senior management and board members, providing clear and concise advice on governance issues. High attention to detail and strong problem-solving skills.
