Role Overview

A Major Global Tier 1 Investment Bank is seeking an experienced VP – Senior Legal Counsel to provide strategic legal guidance across banking and investment activities in Saudi Arabia. The successful candidate will possess deep expertise in Saudi banking laws, SAMA/CMA regulations, and financial transactions. This role will support Global Banking, Trade Finance, Corporate Governance, and Structured Finance, ensuring compliance with local and international legal frameworks.

Key Responsibilities

  • Legal Advisory: Provide expert legal advice to business units on banking, capital markets, trade finance, and regulatory compliance.
  • Contract Review: Draft, review, and negotiate contracts, ensuring compliance with applicable laws and protecting the bank's interests.
  • Transaction Structuring: Advise on the legal structuring of Global Banking transactions (e.g., cash management, trade finance, supply chain finance).
  • Product & Transaction Approval: Oversee the approval process for new banking products and transactions, ensuring alignment with regulatory requirements.
  • Corporate Governance: Support governance matters, including board and shareholder meetings, drafting resolutions, and acting as board secretary if required.
  • Regulatory & Compliance Support: Monitor changes in SAMA, CMA, and MoCI regulations, ensuring compliance and advising senior management on legal risks.
  • Risk Mitigation: Identify and escalate key legal and regulatory risks, ensuring alignment with internal policies and global legal frameworks.
  • Regulatory Engagement: Represent the bank in dealings with SAMA, CMA, and other regulatory authorities, ensuring smooth regulatory interactions.
  • Cross-Business Collaboration: Work with business teams and external counsel on Islamic finance, capital markets, derivatives, and financing transactions.
  • Legal Policies & Best Practices: Implement and promote global legal best practices, ensuring alignment with the investment bank's policies.

Banking Expertise: Strong understanding of banking products and transactions, including corporate finance, structured finance, and trade finance.

Regulatory Knowledge: Deep expertise in SAMA, CMA, and Saudi corporate laws, with experience in regulatory engagement.

Drafting & Negotiation: Excellent drafting and negotiation skills for complex financial agreements.

Governance & Compliance: Strong understanding of corporate governance, regulatory reporting, and risk mitigation strategies.

Islamic Finance Experience: Knowledge of Shariah-compliant financial structures is a plus.

Capital Markets & Derivatives (Nice to Have): Familiarity with ISDA, GMRA, FX, and structured products is beneficial.

Bilingual Proficiency: Fluency in English is required; Arabic is a must.

Mandatory Requirements

  • Law degree from a recognized university (LL.B. or equivalent; LL.M. is a plus).
  • Minimum 8 years of legal experience, with at least 4 years in banking or financial institutions.
  • Saudi Nationals Only (as per regulatory requirements).
