Role:
The Senior Counsel serves in the capacity of advisor for all legal matters pertaining to the Global Business Unit (GBU) to which counsel has been assigned.

**Responsibilities**:

- Analyzes legal matters arising in connection with the operation of the business of the GBU and as otherwise raised by management of the GBU and its subsidiaries, and provides advice and counsel based upon research and acquired legal knowledge.
- Represents the GBU and, when appropriate, Parsons Corporation in connection with dealings with clients and partners on matters of major significance for projects or client/partner relationships.
- Engages outside counsel in circumstances requiring specialized expertise.
- Assists Contracts group, as needed, in the negotiation and drafting of a broad range of contracts, agreements, and other documents.
- Manages special projects, such as research, documentation of transactions, and presentations to various groups as assigned by General Counsel.
- May assist corporate Secretary in performing corporate governance functions, such as preparation of meeting minutes, consents of the Board and Shareholders, certification of the articles of incorporation and bylaws, and the formation and dissolution of corporate entities.
- Performs other responsibilities relating to the legal needs of the assigned GBU or Parsons Corporation as deemed necessary or desirable.

Performs other responsibilities associated with this position as may be appropriate.
Qualifications:
JD degree and typically 15+ years of broad and diversified experience in in-house corporate law department and/or a major law firm.

Requires: (i) proven ability for managing and resolving legal issues pertaining to business; (ii) knowledge of laws, regulations, and practices within field of expertise; (iii) excellent written and oral communications skills.
