Legal Counsel

Reporting to the Associate General Counsel, MEA, the role requires an action orientated individual based in its DTV office in Dharan, Saudi Arabia, to support Emerson’s Automation Solution Platform’s legal needs within the Western Region and throughout Middle East & Africa. The individual will provide legal advice and guidance to Emerson MEA stakeholders and co-ordinate with the Global law Department as necessary to ensure consistency and efficiency across the function.

**Responsibilities**:
Providing accurate and timely advice to internal customers on a range of legal matters, including but not limited to complex technical projects, data protection, intellectual property, litigation, debt disputes, representative and distribution agreements, and leases.

Provide contracts-related services and guidance in compliance with applicable policies and legal and ethical standards, specifically:

- Draft and provide approvals for agreements and transaction documents
- Negotiate terms face-to-face with customers (e.g., ability to persuade external customers to adhere to Emerson contracting principles; ability to explain Emerson’s requirements and Emerson’s rationale behind those requirements)
- Types of documents include (but are not limited to): requests for quotation, general and special terms and conditions, nondisclosure agreements, bank guarantees, memorandums of understanding, letters of intent, agency and distribution agreements, frame agreements, international and multi-business unit contracts, etc.
- Conduct and develop contracts training

Partner with business leaders in making informed decisions and secure appropriate approvals, including advising the business on potential risks, how to mitigate those risks and how those risks could have a practical impact on the business

Interface with customers, members of the legal team, business personnel (sales, project management, etc.) and other stakeholders and drive deals to closure.

Lead the development and implementation of corporate policies, precedents, contract audits, global initiatives and other additional tasks as required

Providing training on the company´s legal, ethical, and contracting policies to sales managers, project managers, engineers, and other internal clients.

Engaging and managing external counsel and other professional advisor firms for appropriate projects.

Reports to: Associate General Counsel, MEA

Willingness to travel - there will be some travel involved in the role from time to time for customer meetings, provision of face-to-face training and other matters as required.

**Basic Qualifications**

University Degree in Law

Minimum 5 years’ post qualification experience working as a lawyer in a commercially related role in private practice or for a multinational company preferably in the engineering, construction and/or oil and gas industries

**Preferred Qualifications**
- Fluent English + Arabic
- Law firm experience
- Multinational company experience
- Experience working with Saudi authorities (e.g., MOCI, SAGIA) preferable
- Experience with contract negotiations
- Good working knowledge of local laws in Saudi, including employment laws ( **Labor Law **) and companies’ regulations
- Experience of providing legal advice and support with respect to other jurisdictions in Middle East & Africa
- Experience in compliance and corporate governance desirable
