**Governance**:

- Develop and maintain a robust corporate governance framework that aligns with regulatory requirements and industry

best practices.
- Support the board of directors and senior management by advising on governance matters, including policy development,

board procedures, and compliance with corporate governance codes.
- Conduct periodic reviews of governance practices to ensure they meet evolving regulatory standards and organizational

needs.
- **Risk Management**:

- Lead the development and implementation of the company’s risk management strategy, including identifying, assessing,

and mitigating risks across all business units.
- Coordinate risk assessment activities, including enterprise risk assessments, and develop risk response plans in

collaboration with business leaders.
- Monitor and report on the effectiveness of risk management efforts, ensuring that risks are managed within the

company’s risk appetite.
- Provide regular risk updates to the board of directors and executive management, ensuring that significant risks are

appropriately communicated and addressed.
- **Compliance**:

- Develop and implement a comprehensive compliance program that ensures the company adheres to all relevant legal and

regulatory requirements.
- Oversee the internal audit process, ensuring that compliance issues are identified, documented, and addressed in a timely

manner.
- Monitor changes in laws and regulations that may impact the company, providing guidance to management on necessary

compliance adjustments.
- Design and deliver compliance training programs for employees to promote a culture of compliance and ethical behavior.
- **Reporting & Documentation**:

- Maintain accurate records of all governance, risk, and compliance activities, ensuring that documentation is complete,

up-to-date, and easily accessible.
- Prepare detailed reports for the board of directors, executive management, and regulatory authorities on the status of

the company’s GRC activities.
- Collaborate with other departments to ensure that GRC practices are integrated into the company’s overall business

strategy and operations

**Requirements**:
Bachelor’s degree in Law, Business Administration, Risk Management, or a related field; advanced degrees or certifications are preferred.

A minimum of 7 years of experience in governance, risk management, and compliance

Demonstrated experience in developing and implementing GRC frameworks that align with business objectives and regulatory requirements.

Proven experience in conducting risk assessments, managing compliance audits, and developing risk mitigation strategies.

In-depth knowledge of Saudi Arabian regulations and international standards related to governance, risk management, and compliance.

Strong understanding of risk management software and GRC tools to support governance and compliance processes.

Exceptional analytical skills with the ability to interpret and act on large volumes of data.

Fluency in both Arabic and English is required, with strong communication skills to effectively liaise with regulatory bodies, executive management, and other stakeholders.
