Job Summary:

We are seeking a highly skilled Corporate Governance Manager to join our team. The successful candidate will be responsible for building and maintaining a robust governance framework that aligns with our organization's strategic objectives.

Key Responsibilities:

  • Develop and Implement Governance Framework: Design and implement a comprehensive governance framework that ensures compliance with relevant laws, regulations, and best practices.
  • Policy Development and Implementation: Assist in developing and implementing corporate governance-related policies, including Conflict of Interest Policy, Code of Conduct, and Related Party Transactions.
  • Board and Committee Management: Support the establishment of Board of Directors committees and management committees, including charter development and performance evaluation.
  • Training and Awareness: Provide training and raise awareness about corporate governance practices within the organization.
  • Qualifications and Skills:
    • Education: Bachelor's degree in business administration, law, finance, or a related field. Master's degree preferred.
    • Experience: (7 to 9) years of related experience. Applicable professional certifications preferred.
    • Language Skills: Fluent in English and Arabic.

Requirements:

  • Strong understanding of corporate governance principles, regulatory requirements, and best practices.
  • Advanced understanding and knowledge of Saudi's Companies Law.
  • In-depth knowledge of subsidiaries governance and operations.
  • Proven experience in policy and procedure development and implementation.
