Job Summary

  • We are seeking an accomplished Board Operations Manager to oversee the daily operations of our board of directors and its various committees.

Key Responsibilities:

  • Board Meeting Coordination and Support:

  • Develop and implement effective strategies for coordinating board meetings, including logistical arrangements and virtual meeting platforms.
  • Collaborate with the board chair and senior leadership to establish agendas, disseminate meeting materials, and track action items.
  • Provide comprehensive support during meetings, ensuring accurate documentation of decisions and resolutions.

Committee Operations and Management:

  • Ensure seamless operation of various board committees by coordinating meeting schedules, preparing agendas, and distributing committee-related materials.
  • Establish open lines of communication between committees and board members, facilitating collaboration and follow-up on action items.
  • Maintain precise records of committee meetings, including minutes, reports, and resolutions.

Document Management and Reporting:

  • Guarantee the accuracy and completeness of all board and committee documents, including meeting minutes, resolutions, and reports.
  • Evaluate and enhance our compliance with corporate governance regulations, emphasizing the protection and security of sensitive information.
  • Prepare and circulate regular reports to the board and committees, encapsulating key actions, decisions, and pending issues.

Governance and Compliance Support:

  • Confirm adherence to internal governance policies, regulatory stipulations, and industry benchmarks in board and committee activities.
  • Support the revision of governance documents, including charters, bylaws, and committee mandates.
  • Facilitate the integration of new board members, providing essential tools and information about our organization, governance structure, and their roles.

Education and Experience:

  • A Bachelor's degree in Business Administration, Law, Finance, or a related field.
  • A Master's degree or professional certifications in governance (e.g., Governance Professional (GPC)) is a plus.
  • 5+ years of experience in board operations, corporate governance, or administrative roles within a corporate environment.
  • Proven expertise working closely with boards and committees is highly valued.
  • Comprehensive understanding of governance best practices, regulatory frameworks, and compliance standards.
  • Demonstrated ability to organize and manage multiple priorities and deadlines efficiently.
  • Superb written and verbal communication skills, enabling the production of clear and concise board materials and minutes.
  • High attention to detail, ensuring accurate and thorough documentation and communication.
  • Exceptional interpersonal skills, facilitating collaboration with board members, senior leadership, and external partners.
  • Proficiency in using Microsoft Office Suite (Word, Excel, PowerPoint) and board management software (e.g., Diligent, BoardEffect).
